STEVEN CASH NICKERSON

　　Mr. Nickerson received his Juris Doctorate in 1985 from Washington University in St. Louis, Missouri. He is licensed to practice law in California, Nevada, Illinois and Nebraska. Mr. Nickerson also earned a Masters of Business Administration from Washington University in 1992 and a Bachelor or Arts degree with a double major in Philosophy and English from Carleton College in Northfield, Minnesota in 1981.

　　After consulting with several major PEO抯, Mr. Nickerson started his own PEO, Workforce Strategies, in May 1995, which achieved annual revenues in excess of $25 million in a two year period. Mr. Nickerson sold Workforce Strategies to TEAM America Corporation, a NASDAQ company, in September 1997, in a merger transaction valued at approximately $10 million. From 1997-1999, Mr. Nickerson served as President of TEAM America of California, a wholly-owned subsidiary of TEAM America Corporation, and also as Executive Vice President of Law and Corporate Development of TEAM America Corporation.

　　In 1998, Mr. Nickerson formed the law firm of Strauss Nickerson LLP with partner Jay Strauss, with offices in Lafayette, California and Reno, Nevada. In July 1998, he founded Mucho.com, an on-line business center where business owners and decision-makers can interact, share ideas and get information to help them run their businesses more efficiently. Mr. Nickerson also serves as the President of Lafayette抯 Chamber of Commerce and actively promotes significant community events.
